Experience

Mr. Montoya's principal expertise is in Corporate Law and Mergers and Acquisitions.

His practice encompasses the design of the most efficient legal structures for companies initiating their activities, corporate reorganization, answering queries related to Commercial Law in general (corporations, contracts, stock markets), and the design and negotiation of contracts related to the acquisition of companies.

Moreover, he advises mining companies in the design of contractual structures for the development of exploration and exploitation activities.

Mr. Montoya has participated in the following transactions:

The acquisition of a majority percentage of Sociedad Minera Refinería de Zinc de Cajamarquilla S.A. by Votorantim Metais Limitada (2004).

The international public bidding proceeding called by the Peruvian State for the transfer to the private sector of the contract for the supply of natural gas from the Camisea gas field, advising Empresa de Generación Termoeléctrica Ventanilla S.A., a subsidiary of the ENDESA group (2003).

The transfer of the control of Tabacalera Nacional S.A., the most important tobacco products manufacturer of the Peruvian market, by Grupo Fierro in favor of British American Tobacco (2003).

The sale by Empresas Polar de Venezuela of its equity interest in Unión de Cervecerías Peruanas Backus & Johnston, the largest beer manufacturer of Peru, to Grupo Bavaria of Colombia (2002).

The granting by International Finance Corporation (IFC) of a US$10 million loan to Peru OEH S.A., a hotel operator in Peru in which Orient Express Hotels Ltd. holds an equity interest (2001).

The acquisition of Miraflores Park Plaza Hotel in Lima, by the Orient Express Hotels group (2001).

The acquisition of Papelera del Sur S.A., a Peruvian manufacturer of paper products, by the Colombian company Cartones América S.A. (2000).

The acquisition of an off-shore bank in Grand Cayman by Norbank (1999).

The merger of Peruvian subsidiaries of the Repsol-YPF group (1999).

Mr. Montoya is a professor of Commercial Law at Pontificia Universidad Católica del Perú since 1999.
