| Experience Mr. Palacios' principal expertise is in corporate financing, project financing and mergers and acquisitions. He has worked for several years at Milbank, Tweed, Hadley & McCloy LLP in New York and Los Angeles, and has participated in transactions in Argentina, Chile, Colombia, Honduras, Mexico, Peru and the United States. He has extensive experience in representing financial institutions and sponsors in the development and financing of international projects and privatization processes in energy, infrastructure, telecommunications and mining industries, as well as in mergers and acquisitions. Examples of Mr. Palacios' recent experience include participation in the representation of sponsors in the Tuxpan II (495 MW) energy project in Mexico, under the BOOT modality; financial entities in the assisted-credit financing of a highway in Chile under Rule 144A of the United States; financial entities in multiple series and currencies refinancing of the largest mobile telephony company in Colombia; and creditors in the sale and restructuring of a debt for US$ 1,360 million of a telecommunications company in Mexico. Mr. Palacios has also represented the successful bidders in the privatization of the Peruvian railway system and of the Mahr Tunel and Cerro de Pasco mining projects. He has recently represented investors in the purchase of a minority share package in the largest microfinancing bank of Peru and in the purchase attempt of the largest fishing company in Peru. He also represented the sellers in the split-up of two insurance companies in Peru; a multilateral financial entity in the financing provided to a development financing institution in Peru; a main creditor in the restructuring of a significant Peruvian textile company; and the structurers in the securitization of future flows of the largest sanitation company in Peru. Mr. Palacios has been a member of the Board of Directors of Compañía Minera La Nacional S.A. (1998-1999), nowadays a subsidiary of Compañía Minera Milpo S.A.A., and frequently participates in the organization of a variety of conferences in the United States on financing in Latin America. In 2004, he was included in the Latin Lawyer survey of the most prominent Peruvian lawyers under the age of 40. He is currently a member of the Procapitales Corporate Governance Committee.
