Experience

Mr. Castritius' principal expertise is in Corporate Finance, Project Financing, Mergers and Acquisitions, Corporate Law, Financial Law and Stock Market.

His work focuses on advising companies in transactions involving the issuance or sale of shares, debt instruments, asset securitization, structured instruments or others, in public and private markets. His practice has also encompassed derivative transactions, company acquisition and corporate reorganization, as well as stock transactions, mutual funds and investment funds, among others.

From 1995 to 2004, he served as officer at Comisión Nacional Supervisora de Empresas y Valores - CONASEV [National Supervising Commission of Companies and Securities], holding the positions of chief legal officer at the Issuance and Company Head Office, and Head of the Stock Market Regulations Department. He also worked at the Office of Legal Counsel.

He had primary responsibility for the analysis and advice provided to the Board of Directors, the Administrative Court, and other decision-making instances of CONASEV, in a variety of cases involving transactions related to the stock market, the financial system, corporations, competition and securities.

Mr. Castritius has had primary responsibility in the drafting of the main regulations governing financing in the local public stock market, such as the Regulations on Primary Public Offerings and Sale of Bearer Securities and their supplementary regulations, and the laws and regulations applicable to asset securitization processes, which created or introduced innovating concepts such as the autonomous patrimony, securitization trusts, anticipated procedures, incorporation by reference, qualified entity, and typical securities, among others, which constitute the legal schemes whereunder such activity is developed at present. In particular, this experience led him to propose the implementation of the new equity system for banking trusts, introduced by the current legislation of the financial system, which promoted the development of these transactions in Peru.

Mr. Castritius' regulatory experience includes being part of the team in charge of preparing the draft Stock Market Law in force, representing CONASEV in the analysis and discussion of various regulatory bodies such as the law governing the Financial System, the General Business Corporations Law and the Securities Law. His practice has also encompassed participation in the preparation of relevant draft regulations such as the Stock Transactions Regulations, the Securities Clearance and Settlement Institutions Regulations and the Risk Rating Companies Regulations, among others.

While serving as the chief legal officer of the Issuers and Companies Head Office, he led the legal team and the practical implementation of the new Regulatory Framework in a large number of transactions related to initial public offerings (IPOs), sale public offerings (SPOs), purchase public offerings (PPOs), and take-over bids (acronym in Spanish: OPAs) of bearer securities, securitizations, privatizations, mergers, spin-offs and other business reorganization processes related to the stock market, listing of securities negotiated at the stock exchange, open corporations, and risk rating, etc.

In matters related to corporate governance, he actively participated in the recent proposals formulated by CONASEV, such as the implementation mechanisms of Good Governance Principles for Peruvian Corporations, and in the preparation of draft laws on "class actions" and "derivative actions".

Mr. Castritius serves as professor at the Law School of Pontificia Universidad Católica del Perú, of the "Seminar on Commercial Law Integration" course, which is structured based on the discussion of cases related to administrative law, corporate law and the stock market.
