The Mergers and Acquisitions Area of Rodrigo, Elías & Medrano Abogados participates, on a regular basis, in the most important, sophisticated and complex corporate acquisition and take-over transactions in Peru, through asset or share acquisition schemes, or through the implementation of mergers or other corporate reorganization structures, in various sectors of the economic activity.
This Practice Area has been distinguished as the number one area in its specialty by international magazines such as Chambers & Partners and Latin Lawyer, as well as by local publications such as Semana Económica.
During the past few years we have participated directly in most significant transactions executed in Peru (according to Semana Económica), being by far the most prominent Law Firm in the merger and acquisition market, both in terms of number of transactions and of amounts involved. This clearly explains why our Area has been described as a "main force" in the merger and acquisition field (Chambers & Partners).
Examples of our recent experience include our advisory to Telefónica Móviles, a Spanish company, in the acquisition of BellSouth Peru, as part of the regional acquisition transaction for a total of US$5.85 million; Corporación J.R. Lindley, in the acquisition of Embotelladora Latinoamericana de Coca-Cola Embonor, for US$147 million; Brazilian company Votorantim, in the acquisition of the Zinc Refinery of Cajamarquilla from Teck Cominco and Marubeni, for US$210 million; the Venezuelan company Empresas Polar, in the sale of its equity share in UCP Backus & Johnston to Grupo Bavaria, for US$586 million; and Grupo Fierro of Spain, in the sale of Tabacalera Nacional to British American Tobacco (BAT), for US$225 million.

- Compañía Minera Milpo S.A., in the first hostile acquisition carried out in Peru for the purchase of Compañía Minera Atacocha S.A., through a Take-Over Bid.
- The individual shareholders of Universidad Peruana de Ciencias Aplicadas (UPC), in the sale of a majority equity share in Laureate Education.
- Pan American Silver Corp., in its acquisition of Compañía Minera Argentum S.A. and Compañía Minera Natividad S.A.
- Royal & Sun Alliance Group, in the sale of its general and life insurance businesses in Peru.
- Cervesur -the second largest brewery of Peru-, in the sale of this company to CPU Backus & Johnston, for over US$ 200 million.
- Sempra Energy, in the indirect acquisition of a majority portion of Luz del Sur S.A.A., one of the most important electricity distribution companies in Peru.
- Orient Express, in the acquisition of a significant portion in a local hotel operator.
- Noranda Inc. and Teck Corporation, in the acquisition of the interest share of Inmet Mining Corporation in Compañía Minera Antamina S.A., owner of the most important zinc and copper deposit in Peru.
- Kimberly Clark Corporation, in the acquisition of Mimo S.A. and Compañía Papelera Industrial del Perú S.A.
- Phelps Dodge Mining Company, in a transaction involving the acquisition of a majority equity share in Minera San Ignacio de Morococha S.A.
- Grupo Industrial Camesa S.A. de C.V. (Mexico), in the acquisition of Cables of Acero del Pacífico S.A. - CABLESA.
- White Martins, a subsidiary of Praxair Inc., in the acquisition of SQIA and SQIL;
- Compañía Arturo Field y la Estrella Limitada S.A., in the sale of the company to Nabisco International;
- Compañía Embotelladora del Pacífico S.A. (a Pepsi Cola bottling company), in the sale of its common shares and assets.
- Banco Wiese Ltdo., in its merging with Banco de Lima - Sudameris (Banca Commerciale Italiana), which represented the largest bank merger in the history of Peru.
- Banco del Progreso, in its merging with Norbank;
- Standard Chartered Bank, in the acquisition of a majority equity share in Extebandes (a multinational entity doing business in Venezuela, Colombia, Spain, Grand Cayman, Miami and Peru).
- Banco Bilbao Vizcaya, in the acquisition via privatization of Banco Continental.
