Though relatively new in Peru, transactions related to the Financing of Projects have become particularly relevant in recent years, mainly due to the existing legal framework for privatization and the awarding of infrastructure and public service concessions.
The Project Financing Practice Group of Rodrigo, Elías & Medrano Abogados participated in the first two issuances of corporate bonds to public service concessionaires: the Italian-Peruvian Agua Azul Consortium (Impregilo, Acea and Cosapi), responsible for the treatment of the Chillón river's waters; and Consorcio Transmantaro S.A. (Hydro Québec), in charge of building and operating an electric transmission line in the south of Peru.
Rodrigo, Elías & Medrano Abogados provided legal advice to the Interamerican Development Bank (IDB) and Corporación Andina de Fomento [Andean Development Corporation] (CAF) in the financing of the Camisea Project regarding the construction and implementation of the Camisea gas transportation system. This project was considered by the prestigious organization Euromoney as the "Transaction of the Year" in the Gas and Oil Category for Latin America.
Moreover, advice was provided to SEDAPAL (a drinking water supply and sanitation company based in Lima) and Electro Sur Medio in the securitization of its income flows.
It has also participated in the legal evaluation of a variety of aspects related to the financing of a large part of the most relevant projects launched in recent years, including, for instance, the Mantaro-Socabaya Transmission Line; Road Network N° 5; Jorge Chávez International Airport; the new urban express highway for Lima; the Olmos Hydroelectric and Irrigation Project; the Río Chillón channeling works; the Leaching Plant of Southern Perú Copper Corporation and the interconnection of the southern transmission lines.
Its most representative clients include Peruvian companies, such as Graña y Montero and COSAPI; Italian companies, such as Impregillo and ACEA; English companies, such as The National Grid and Orient Express; Spanish companies, such as ACS, Red Eléctrica de España and Cobra; French companies, such as GTM and BNP Paribas; and American companies such as San Francisco International Airport.
This Area has also participated in infrastructure and public services concession processes conducted in the country, the most notable being, in addition to the ones mentioned, the irrigation works of Alto Piura, the center and south railway concession and SEDAPAL.
Rodrigo, Elías & Medrano Abogados provided advice to different entities seeking to be qualified as bidders in the respective public bidding proceedings, as well as in the evaluation of the regulatory issues related to the concession itself and the negotiation of the appropriate contract. The Firm also provided guidance to the grantors and their technical advisors.
